The terms of the not are outlined below:

• 6% Coupon P.A.
• 50% discount to IPO or liquidity event. The Company is targeting an IPO within 24-36 months.
• Valuation conversion cap fixed at A$12m giving investors significant upside potential.
  

Novus has been mandated as Lead Manager and Financial Advisor to the Company for the Proposed Transaction and will be paid fees in the Convertible Notes Offer and capital raising.
